Welcome to Skyscale (“we,” “our,” “us”). These Terms of Service (“Terms”) govern your access to and use of our AI-powered services, including AI agents, automations, chatbots, integrations, consulting, and subscription products (collectively, the “Services”).

By using our Services, you agree to these Terms.
If you do not agree, do not use the Services.


2. Eligibility

Our Services are intended only for businesses.

To use the Services, you must:

Be a business or business representative

Be at least 18 years old

Have the authority to enter into binding agreements on behalf of the business

Agree to comply with these Terms

We reserve the right to refuse service at our discretion.


3. Services Provided

Skyscale provides AI-related products and services, which may include:

AI receptionist agents (SMS & Instagram DMs)

AI automation and workflow setup

AI chatbot development

Integration with platforms such as Twilio, GoHighLevel, BuildMyAgent

Business-specific AI systems

One-time builds and monthly subscription services

Ongoing support depending on plan level

We may update, modify, or discontinue certain features at any time.


4. Payment Terms

4.1 Upfront Fees

Some services require a one-time setup fee, due at the time of purchase.

4.2 Subscription Billing

Certain Services operate on a monthly subscription basis.
Subscriptions begin when you sign up and automatically renew each billing period.

4.3 Auto-Renewal

By subscribing, you authorize Skyscale to automatically charge your payment method at the start of each billing cycle.

4.4 Free Trials

Free trials may be provided at our discretion.
If you do not cancel before the trial ends, the paid subscription will begin automatically.

4.5 No Refunds

All sales are final. No refunds are given for any reason, including:

Early cancellation

Partial use of service

Dissatisfaction with AI outputs

Failure to use the service

Chargeback attempts will be treated as a breach of contract.


5. User Responsibilities

Users agree to:

Use the Services legally and ethically

Not engage in harassment, abuse, or harmful content

Not use AI for illegal purposes

Not resell, redistribute, or sublicense Skyscale AI agents

Not reverse-engineer or copy Skyscale prompts, logic, systems, or flows

Review AI-generated messages before sending them to customers

Ensure accuracy of information submitted to the Service

Maintain responsibility for their own business decisions

Clients are fully responsible for all actions and outputs produced by their AI agents.


6. Company Rights

Skyscale reserves the right to:

Suspend or terminate accounts for misuse

Terminate access for non-payment

Modify or discontinue any Service

Enforce usage limits or fair-use policies

Refuse service to anyone violating these Terms

Remove or disable access to harmful or abusive agents

We may update our Services without prior notice.


7. Intellectual Property

7.1 Skyscale IP

All prompts, flows, agent logic, frameworks, processes, AI configurations, and proprietary development created by Skyscale remain the exclusive intellectual property of Skyscale.

Clients receive a non-exclusive license to use the deliverables for their own business only.

Clients may NOT:

Copy

Resell

Redistribute

Claim ownership

Reverse-engineer

Create derivative works

7.2 Client Content

Clients retain ownership of their own business data, branding, and uploaded materials.


8. AI Output Disclaimer

Clients acknowledge that:

AI may produce inaccurate or unexpected results

AI should not be relied upon as a substitute for professional advice

Clients are responsible for reviewing AI-generated messages

Skyscale is not responsible for business decisions made based on AI output

No outcomes, revenue, or results are guaranteed


9. Limitation of Liability

To the fullest extent allowed by law:

Skyscale is not liable for any losses, including but not limited to lost revenue, lost customers, business interruption, or reputational harm.

Skyscale is not liable for any AI errors, inaccuracies, or harmful outputs.

Skyscale is not liable for misuse of the Services by the client or third parties.

Skyscale is not liable for downtime, outages, or third-party platform failures.

Maximum liability is limited to the amount the client paid to Skyscale in the past 30 days.

Some jurisdictions do not allow certain limitations; where prohibited, limitations apply to the maximum extent allowed.


10. Termination

10.1 Client Termination

Clients may cancel subscriptions at any time.
Cancellations do not result in refunds.

10.2 Skyscale Termination

We may terminate service immediately for:

Misuse or abuse

Illegal use

Non-payment

Violation of these Terms

Upon termination, all licenses terminate, and access may be revoked.


11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

All disputes will be resolved exclusively in California state or federal courts.


12. Changes to These Terms

We may update these Terms periodically.
Updates take effect when posted on skyscale.ai.
Continued use of the Services means you accept the updated Terms.
